SWTCH Home Charging Program - Terms and Conditions

Welcome to the SWTCH Home Charging Program (the “Program”), offered by SWTCH Energy Inc. (“SWTCH,” “we,” “us”). These Terms and Conditions (the “Agreement”) govern your participation in the Program.

This Agreement incorporates by reference the SWTCH Privacy Policy.

By placing an order and participating in this Program, you (“Customer,” “you”) agree to be bound by this Agreement.

1.   Definitions

“SWTCH Home App” refers to the official SWTCH mobile application used to connect the charger to the SWTCH server, monitor charging, track energy usage, and view earnings.

“Participating EV Charger” (or “Charger”) refers to any eligible electric vehicle charging device officially listed through the SWTCH Home Charging Program website (shop.swtchenergy.com).

“Incentives” refers to any federal, provincial, municipal, or utility-sponsored rebates, incentives, or tax credits related to the purchase and/or installation of an EV charger.

2.   Program Eligibility.  To participate in the Program, you must:

a)   Be a resident of Canada;

b)   Own or have the legal right to install a Participating EV Charger at your specified residential property address; and

c)   Create and maintain a SWTCH account in good standing, register your Charger in the SWTCH Home App upon installation, and maintain internet connectivity to your Charger.

3.   Program Options.  You may choose one of the two following options to acquire a Participating EV Charger:

3.1. Free Participating EV Charger

a)   Acquisition: A residential property may receive one (1) Participating EV Charger at no upfront hardware cost.

b)   Security Deposit: You must pay a refundable security deposit of $300 CAD (the “Deposit”). The Deposit is held as security for your fulfillment of Program obligations, primarily the assignment of Incentives as detailed in Section 8.

c)   Deposit Refund: The Deposit will be refunded to you in full once your Charger has delivered a cumulative total of 1,500 kWh of energy, as measured by our systems and displayed in the SWTCH Home App. There is no time limit to reach this threshold. Once the threshold has been reached, your deposit will be credited back to your original payment method in 3-5 business days, strictly contingent upon your SWTCH Home App and Charger firmware being updated to the most current versions.

3.2. Outright Purchase of Participating EV Chargers

a)   Acquisition: A residential property may purchase any number of Participating EV Chargers from the SWTCH Home Charging Program store at the applicable listed retail price plus applicable taxes.

b)   Incentives: You retain the right to apply for and receive any and all Incentives for which you are eligible. SWTCH has no claim to these Incentives.

4.   Title and Ownership of the Charger.  Title and ownership of the Charger transfer to you upon successful delivery, regardless of whether you selected the Free Charger Program or the Outright Purchase Program. The Charger is your property.

 

5.   Ordering, Shipping, and Returns

5.1   Shipping: You are responsible for all shipping costs as calculated during checkout. SWTCH is not liable for delays due to inventory or shipping.

 

5.2   Return Policy & Restocking Fee: Chargers may be returned within thirty (30) days of delivery. To be eligible for a return, the charger must be in its original packaging, unused, and in the same condition that you received it. All returns are subject to a $75 CAD Restocking Fee. You are responsible for all costs associated with return shipping. The Restocking Fee and the original shipping charges are non-refundable and will be deducted from your refund amount.

 

5.3   Customer Responsibility for Compatibility: It is your sole responsibility to consult with a licensed electrician to confirm that your property’s electrical system and Wi-Fi signal strength at the installation site are sufficient prior to placing your order.

 

6.   Installation.  You are responsible for all costs and arrangements for the installation of the Charger by a licensed electrician in compliance with all applicable electrical safety codes.

 

7.   Connectivity, Data Collection, and Earnings.  This section applies to all participants in the Program.

 

7.1   Mandatory Connectivity: To participate in the Program and be eligible for earnings and/or a Deposit refund, your Charger must be registered in the SWTCH Home App and remain connected to a stable Wi-Fi network with an internet connection.

 

7.2   Active Connection Agreement (Free Charger Program): To earn ongoing rewards and participate in the Home Charging Program, your free Charger must be operated solely through the SWTCH network. This dedicated and active connection is necessary to support the Clean Fuels Regulations (CFR) program requirements. By accepting the free Charger you agree to maintain this SWTCH connection for as long as the CFR program is active.  Utilizing a third-party network application or platform with your Charger or failing to maintain the SWTCH connection during the currency of the CFR program constitutes a material breach of this Agreement entitling SWTCH to terminate pursuant to Section 12.2, resulting in forfeiture of your $300 Deposit and any accrued earnings. SWTCH will notify you via the email address on file if it becomes aware of a breach of this obligation and will provide you with ten (10) business days to rectify the breach.

 

7.3   Data Collection: You acknowledge and agree that SWTCH will collect energy usage data from your Charger. This data is used to calculate your earnings, track your progress toward the 1,500 kWh Deposit refund threshold (if applicable), and generate and aggregate any applicable carbon fuel credits under programs like Canada’s Clean Fuel Regulations. 7.4   App and Firmware Update Compliance: Eligibility for the updated reward rates effective July 1, 2026, as well as the processing of any earnings payouts or deposit refunds, requires participants to update the SWTCH Home App to the latest version and accept these updated Terms and Conditions. Furthermore, participants must maintain an active internet connection to allow their Charger to receive and have installed all mandatory firmware updates as they are released.

 

7.5   Earnings Rate Schedule: Your charger’s earnings rate is determined by your chosen program option as detailed below. These earnings will be displayed in your SWTCH Home App.

a)   Free Charger Program: Participants earn $0.03 CAD/kWh for the first 1,500 kWh charged. Upon clearing the 1,500 kWh deposit return threshold, the earning rate automatically increases to $0.10 CAD/kWh for the remainder of the SWTCH Home Charging Program.

b)      Outright Purchase Program: Participants earn $0.10 CAD/kWh.

 

Application of July 1, 2026 Rates: The updated earnings rates set out in this Section 7 apply only to charging sessions that begin on or after the later of (a) July 1, 2026 at 12:00 a.m. Eastern Time, and (b) the time you satisfy the eligibility requirements set out in the "App and Firmware Update Compliance" provision above. Any charging session that begins before that time will be calculated in its entirety at the earnings rate in effect under your prior agreement, even if the session ends after that time. For clarity, if a charging session is in progress when you satisfy those eligibility requirements, the updated rates apply only to charging sessions that begin afterward.  For certainty, “charging session” means a single, continuous period during which your Charger delivers energy to a connected electric vehicle, beginning when energy delivery starts and ending when energy delivery stops or the vehicle is disconnected.

7.6   Earnings Payout: Once your earnings balance reaches $100 CAD, a payout via direct deposit through the SWTCH Home Charging Program app will be processed. Payouts are processed within 15 business days. The processing and release of these funds are contingent upon your Charger and SWTCH Home App running the most up-to-date software and firmware versions.  If your Charger or SWTCH Home App is not running the most current versions at the time a payout is triggered, SWTCH will notify you via email that a software or firmware update is required. You will have thirty (30) days from the date of that notice to complete the required updates, after which your payout will be processed within 15 business days of update completion. Earnings already accrued in your account will not be forfeited solely as a result of a failure to update, provided you complete the required updates within the thirty (30) day notice period. Accrual of new earnings will continue during the notice period but will not be paid out until the updates are complete.

 

7.7   Rate Modification:

a)      Rate Changes. Earnings rates under the Program are variable and are not guaranteed. SWTCH may establish, modify, suspend or discontinue the earnings rates applicable to the Program at any time, in its discretion. Unless SWTCH specifies a later effective date, a rate change will be effective immediately upon notice.  Notice may be provided by email or through a notification in the SWTCH Home App. Failure to receive, review or acknowledge such notice will not affect the validity or effectiveness of the rate change.

 

b)      Effect on Accrued Earnings. The rate applicable to each charging session is determined at the start of that session, accordingly charging sessions that begin before the effective date of a rate change will be calculated at the rate in effect when those sessions began and paid in accordance with this Section 7, and charging sessions that begin on or after the effective date of a rate change will be calculated using the modified rate.

 

c)       No Vested Rights. Participation in the Program does not create any right or entitlement to any particular earnings rate or future level of compensation. A rate change does not constitute a breach of this Agreement or entitle you to terminate this Agreement, cancel your participation in the Program, or receive a refund of the Deposit. Your continued participation in the Program following the effective date of a rate change constitutes acceptance of the modified rate. All other terms of this Agreement remain in full force and effect notwithstanding any rate modification.

7.8   Consequences of Lost Connection (All Participants): If your Charger loses its Wi-Fi connection, it will continue to function as a standard charger and will store your charging session data locally. Once the internet connection is restored, the Charger will automatically sync this stored data with our systems. Your usage statistics and earnings for those offline sessions will then be calculated and reflected in the SWTCH Home Charging Program app. A continuous connection is required to ensure this data is received in a timely manner.

7.9   Consequences of Lost Connection (Free Charger Program Participants Only): If your Charger remains offline for a consecutive period of 180 days, you will be in breach of this Agreement, and your $300 deposit and any earnings generated will be forfeited and you will be removed from the program.

7.10  Software and Firmware Updates: You acknowledge and agree that SWTCH may, from time to time, remotely update the software or firmware on your Charger without prior notice. These updates are necessary to ensure security, improve functionality, and maintain the Charger's compatibility with the Program. You agree to maintain the Charger's internet connection to receive these essential updates.

8.   Rebate Assignment (Applicable to Free Charger Program Only)

 

8.1   Acknowledgement and Assignment: You acknowledge that under applicable regulations, including the Clean Fuel Regulations (CFR), all carbon fuel credits generated by your residential charging default to SWTCH as the Charge Point Operator. For any other Incentives or rebates where you may be the default beneficiary, you irrevocably assign all rights to SWTCH Energy Inc. by selecting the Free Charger Program, and you agree to act as our agent to secure these Incentives on our behalf.

 

8.2   Customer Cooperation: If an Incentive program sends payment directly to you, you agree to remit the full amount to SWTCH by mailing a cheque to our head office (7 Queen Elizabeth Blvd, Toronto) within 30 days of your receipt of the funds.

8.3   Non-Compliance: Failure to remit an Incentive payment to SWTCH constitutes a material breach and will result in the forfeiture of your $300 Deposit and immediate termination from the Program.

9.   Relocation (Moving)

9.1   Moving Within Canada: You may move and take your Charger with you to another location within Canada. Your progress toward the 1,500 kWh goal will not reset. You must inform us of your new address by updating your address in the SWTCH Home Charging Program App.

 

9.2   Moving Outside Canada: If you move outside of Canada before reaching the 1,500 kWh threshold (if applicable), your $300 Deposit will be forfeited and you will stop earning for your usage.

 

10.   Sale of Property and Non-Transferability of Participation.  Participation in the Program is non-transferable and is tied to you, the original customer, and your SWTCH account. If you sell your property, you have two options regarding the Charger:

a)   Leave the Charger: You may leave the Charger for the new owner. However, your participation in the Program will be terminated. If you were in the Free Charger Program, your participation will be cancelled as per Section 12.1.

b)   Take the Charger: You may uninstall the Charger and move it to your new residence within Canada, as described in Section 9 (Relocation).

The new property owner cannot take over your account, your earnings balance, or your progress toward the 1,500 kWh deposit refund threshold. However, if you leave the Charger at the property, the new property owner is welcome to join the Program. They may apply as a new customer, register the existing charger under their new account, and will be eligible to participate under the Outright Purchase Program terms (earning $0.10 CAD per kWh effective July 1, 2026).

11.   Warranty, Damage, and Misuse.  The following warranty terms apply to all participants in the Program:

11.1                       SWTCH Lifetime Warranty: As long as applicable government-sponsored carbon fuel credit programs (e.g., Canada’s Clean Fuel Regulations) remain active and SWTCH continues to participate in them, SWTCH provides a lifetime warranty on your Charger against manufacturing defects. This warranty is contingent upon the Charger maintaining an active, continuous connection to the SWTCH network. Disconnecting the device from the SWTCH network will immediately and permanently void this SWTCH Lifetime Warranty.  Registering or operating the Charger through a third-party network application or platform in place of the SWTCH network will immediately and permanently void this SWTCH Lifetime Warranty. For clarity, a temporary or incidental loss of connectivity to the SWTCH network (for example, a Wi-Fi or internet outage) does not, on its own, void this warranty, so long as the Charger has not been registered or operated on a third-party network.

 

11.2                       Manufacturer Warranty Reversion: Your Charger also includes a standard limited warranty provided by the original hardware manufacturer, effective from your original date of delivery. If the carbon fuel credit program(s) are altered, cancelled, or not renewed such that SWTCH's participation ends, the SWTCH Lifetime Warranty will immediately terminate. Your coverage will then revert to whatever time remains on the original manufacturer warranty. If the manufacturer's warranty period has passed since your delivery date at the time our participation in these programs ends, your Charger will no longer be under warranty.

 

11.3                       Warranty Process: If you experience a problem with your Charger, contact SWTCH customer support at home.support@swtchenergy.com. If we determine the Charger is faulty due to a manufacturing defect while covered under either the SWTCH Lifetime Warranty or the Manufacturer Warranty, we will provide a replacement unit and will cover the cost of shipping.

 

11.4                       Post-Warranty: Once all applicable warranties have expired or terminated, you are responsible for the repair or replacement of the Charger at your own cost.

 

 

12.   Program Cancellation and Termination

12.1                       Cancellation by Customer (Free Charger Program only): If you wish to cancel your participation in the program after the 30 day mark and be eligible for a partial refund of your Deposit and get paid for what you have earned by charging, you must return the Charger to SWTCH at your expense and a restocking fee of $75 will be deducted from your deposit. If the Charger is damaged beyond normal wear and tear, we may deduct repair costs from your refund. Payment to your bank account and the remaining amount of your deposit will be paid within 7 business days. To cancel, email home.support@swtchenergy.com.

12.2                       Termination for Breach or Inactivity: SWTCH may terminate your participation in the Program if you commit a material breach of this Agreement (e.g., prolonged offline status or failure to remit an Incentive payment if applicable). SWTCH also reserves the right to terminate your participation due to inactivity, as defined in Section 7. In the event of termination for breach or inactivity, your $300 Deposit and any accrued earnings will be forfeited.

12.3                       Termination Due to Carbon Fuel Credit Program Cancellation: SWTCH's ability to offer earnings is contingent on the existence and our participation in government-sponsored carbon fuel credit programs (e.g., Canada’s Clean Fuel Regulations). If these programs are altered, cancelled, or if SWTCH is no longer eligible to participate such that we cannot generate revenue from your charging data, SWTCH reserves the right to terminate the earnings portion of the Program for all participants. In such an event, the following will occur:

a)   Notification: All active participants will be notified via email that the earnings program is ending.

b)  Earnings Cease: Effective on the date specified in the notification, participants will no longer accrue new earnings from charging sessions.

c)   Final Earnings Payout: SWTCH will process a final payout of all accrued earnings in your account. This payout will be made regardless of whether the $100 payout threshold has been met.

d)  Pro-rated Deposit Refund: If you participated in the Free Charger Program and have not yet reached the 1,500 kWh refund threshold, you will receive a pro-rated refund of your $300 Deposit. The refund will be calculated based on the total energy you have delivered.

e)  Formula: (Total kWh Charged / 1,500 kWh) * $300 = Refund Amount

f)        Example: If you have charged 1,000 kWh at the time of program termination, you would receive a refund of $200 (1000 ÷ 1500 × $300), in addition to your final earnings payout.

g)   Warranty Reversion: The SWTCH Lifetime Warranty will immediately terminate, and your Charger's warranty coverage will revert to any remaining time on the original manufacturer warranty, as detailed in Section 11.

13.   Limitation of Liability & Indemnification

13.1                       Limitation of Liability: To the maximum extent permitted by law, SWTCH shall not be liable for any indirect, incidental, or consequential damages, malfunctions, or safety hazards arising from the installation or use of the Charger. It is your sole responsibility to ensure the installation is performed in compliance with manufacturer recommendations and in a safe manner by a qualified professional. Our total liability under this Agreement shall not exceed the amount you have paid to us.

 

13.2                       Indemnity: You agree to indemnify and hold harmless SWTCH from any claims or losses arising from a) your breach of this Agreement, b) your violation of any applicable laws, c) your negligence or wilful misconduct, d) your improper use of the Charger, or e) any claims brought by third parties arising from your participating in the Program or your use of the Charger.

 

 

14.   General Provisions

14.1                       Governing Law: This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

 

14.2                       Dispute Resolution: In the event of a dispute arising from this Agreement, you agree to first attempt to resolve the matter by contacting our customer support team at home.support@swtchenergy.com. If the dispute cannot be resolved informally, both parties agree to pursue resolution through binding arbitration under the laws of the Province of Ontario before resorting to litigation.

 

14.3                       Force Majeure: Neither party shall be held liable for any failure to perform its obligations under this Agreement if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or widespread internet or power outages.

 

14.4                       Entire Agreement: This Agreement, along with the Privacy Policy, constitutes the entire agreement between you and SWTCH concerning the SWTCH Home Charging Program.
